Giveaway Name: New Year, New Gear Giveaway.

Eligibility. Except where regulated or restricted by law, the Giveaway is open to entrants worldwide, who are at least eighteen (18) years of age as of the date of entry. The following persons are not eligible to enter or win: (i) Employees, contractors, shareholders, directors, and officers of the Sponsors, as defined below, and their immediate family members and those living in the same households. Other eligibility requirements are set forth below in these Official Giveaway Rules. All national, federal, state, provincial, municipal, and local laws and regulations apply.

Sponsors. The official sponsors (individually a “Sponsor” and collectively the “Sponsors”) of this Giveaway are: (i) Lume Cube; (“Administrative Sponsor” or “Lume Cube”) www.lumecube.com; Lume Cube.

Giveaway Schedule. The Giveaway opens at 12:01 a.m. on December 28th, 2022. The Giveaway concludes at 11:59 p.m. (PST) on January 4th, 2023 (“Giveaway Period”). Entries will be accepted throughout the Giveaway Period. In order to participate in the drawing your entry must be received by the appropriate deadline for the drawing, as indicated below:

(i) Lume Cube Giveaway Drawing. To participate in the drawing for the Lume Cube Giveaway Drawing (and other sponsor) prizes, your entry must be received no later than 11:59 p.m. (PST) on January 4th, 2023.

How to Enter

(i) Entering Online.

Odds of Winning. Odds of winning any of the prizes will depend on the total number of eligible entries received by the applicable prize drawing deadline.

Prizes. The following prizes will be awarded, subject to the terms and conditions of these Official Giveaway Rules:

(i) ULTIMATE LIGHTING PRIZE DRAWING. The Ultimate Lighting Prize Winner (“Grand Prize Winner”) will receive the following “Grand Prize”:

One (1) Studio Panel Lighting Kit, $349.99 USD; (1) RGB Panel Pro Light Shaping Kit, $199.99 USD; (1) Lume Cube 2.0 Waterproof LED, $89.99 USD; and (1) Pro Workspace Bundle, $211.99 USD.

There will be one (2) Grand Prize winners. The total approximate retail value of the each Grand Prize is $800 USD excluding taxes and any other expenses related to the acceptance and use of the prize. Any difference between the approximate retail value and the actual Grand Prize cost will not be awarded. The Grand Prize Winner cannot substitute or ex- change any part of the Grand Prize. The Sponsors reserve the right to substitute the Grand Prize in which case a prize of equal or greater value will be awarded. The Grand Prize Winner is solely responsible for all applicable taxes on the value of the Grand Prize and will be issued an IRS 1099 tax form for the approximate retail value of the Grand Prize. The Grand Prize Winner understands and acknowledges the terms and conditions of these Official Giveaway Rules, including his or her sole responsibility for all applicable taxes. Drawings. The Grand Prize will be selected in a random drawing from all eligible entries received. The prize drawing will be conducted by Lume Cube as provided below. The winner(s) will be notified by e-mail or direct message within one (1) week from the date of the Grand Prize drawing.

(i) Grand Prize Drawing. The Grand Prize Winner will be selected at approximately 12:00 p.m. (PST) on January 5th, 2023 at random using a third party computer generated service.

Prize Delivery. The Grand Prize will be delivered once the winner for such prize has been verified. If any prize is unclaimed after 72 hours from the date of the prize drawing, if any prize correspondence or prize is returned as undeliverable, or if a winner is found ineligible or not in compliance with these Official Giveaway Rules, the prize will be forfeited and an alternate winner may be selected, at the Sponsors’ option and sole discretion. If any prize, or any portion thereof, cannot be awarded for any reason, the Sponsors reserve the right to substitute a prize of equal or greater value. All federal, state and local taxes, and all other costs associated with acceptance or use of the prizes, are the sole responsibility of the winners. Winners may waive their right to receive a prize. All Giveaway prizes are non-transferable, non-exchangeable, and non-refundable, have no cash value, and must be accepted by the winner as awarded.

Conditions. Entries by automatic, programmed, or like methods will be disqualified. Improper or incomplete entries will be disqualified. All entries must be received during the applicable entry period (see above).

All entries become the property of the Sponsors and will not be returned. Prizes may be awarded to addresses internationally. Sponsors reserve the right to disqualify any individual who tampers with the entry process or acts in a disruptive manner. If the identity of an online entrant is disputed, the authorized account holder of the e-mail address submitted at the time of entry will be deemed to be the entrant. A selected entrant may be required to provide proof that he/she is the authorized account holder of the e-mail address associated with the selected entry. All entries must be submitted from a valid e-mail address that may be identified by reverse domain name search. The sole determinant of time for the purposes of receipt of a valid online entry in the Giveaway will be Administrative Sponsor’s clock. All determinations by the Administrative Sponsor with respect to time are final. Noncompliance with any of the requirements of these Official Giveaway Rules may void your entry and disqualify you from participating in the Giveaway and winning any of the prizes.

Potential winners will be required to complete, sign and return an affidavit of eligibility, a liability release, and a publicity release, except where restricted or prohibited by law, within a stated amount of time. If affidavits and releases are not received by the date stated on the notification, or if any notification is returned as non-deliverable, or if a potential winner is found to be ineligible or not in compliance with these Official Giveaway Rules, or does not return such other releases as deemed necessary by Sponsors, the potential winner will be disqualified and at Sponsors’ discretion an alternative potential winner may be selected.

The Grand Prize may not be combined with any other offer. Additional regulations and conditions may apply.

The Grand Prize Winner is solely responsible for all costs not expressly described herein including, without limitation, applicable taxes and some travel costs. All foreign, federal, state and local taxes, fees and surcharges on prizes are the sole responsibility of the winners. If a winner declines a prize or is unavailable for prize fulfillment, an alternate winner will be selected at random from all remaining eligible entries.

Affidavit of Eligibility / Liability and Publicity Release. Except where restricted or prohibited by law, the prize winner agrees to grant permission for the Sponsors and those acting under their authority to use his/her name, photograph, video, voice and/or like- ness, for advertising and/or publicity purposes without additional compensation. The prize winner will be required to complete, sign and return an affidavit of eligibility and liability release and, where lawful, publicity releases before receiving the prize. If documents are not returned, the prize will be forfeited and an alternate winner selected.

Conduct of Entrants. By participating in this Giveaway, entrants fully and unconditionally agree to these Official Giveaway Rules. Entrants further agree to be bound by the decisions of the Sponsors, which are final and binding in all respects. Winning a prize is contingent upon fulfilling all requirements set forth in these Official Giveaway Rules. Sponsors reserve the right to disqualify entrants who act in violation of the Official Giveaway Rules or who make any misrepresentations relative to this Giveaway and redemption of any of the prizes.

Right to Cancel or Suspend Giveaway. If for any reason the Giveaway, including the online segment of the Giveaway, is not capable of running as planned, due to infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of the Sponsors that corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Giveaway, the Sponsors reserves the right, at their sole discretion, to disqualify any individual(s) who tamper with the entry process, and/or to cancel, terminate, modify, or suspend the Giveaway and to award the prizes to individuals selected at random from the pool of eligible entrants received up to the point of termination. In no event will more prizes be awarded than those listed in the Official Giveaway Rules.

Release. By participating in this Giveaway, entrants agree to release, discharge, and hold harmless Sponsors, and their partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors, and representatives (“Released Parties”) from any liability, claims, losses, and damages arising out of, or relating to, their participation in the Giveaway or any Giveaway-related activities and the acceptance, use, misuse, or possession of any prize received in this Giveaway.

Entrants also agree (a) to be bound by these Official Giveaway Rules; (b) that the decisions of Sponsors are final on all matters relating to the Giveaway; and (c) if he/she wins, to the use of his/her name, image and likeness for advertising and promotional purposes without compensation (except where prohibited by law) and upon request, to provide consent to such use in writing. All prize winners understand and acknowledge that their eligibility must be verified prior to receipt of any prize.

Released Parties shall not be liable to winners or any other person for failure to supply the prizes or any part thereof by reason of any acts of God, any actions, regulations, orders, or requests by any governmental entity, equipment failure, terrorist acts, war, fire, unusually severe weather, embargo, labor dispute or strike, labor or material shortage, transportation interruption of any kind, or any other cause beyond Released Parties’ sole control.

Limitations of Liability. NEITHER THE SPONSORS NOR ANY OTHER RELEASED PARTY SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INCIDENTAL, INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES, OR EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS GIVEAWAY, ANY ENTRY OR USE OF THE ENTRY, OR ANY CONTENT THEREIN, INCLUDING WITHOUT LIMITATION ANY LIABILITY, LOSS, INJURY, OR DAMAGE TO ENTRANT OR ANY OTHER PERSON OR ENTITY, INCLUDING PERSONAL INJURY OR DEATH, OR DAMAGE TO PERSONAL OR REAL PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, BY REASON OF ENTRANTS PARTICIPATION IN THE GIVEAWAY. NEITHER THE SPONSOR, NOR ANY OTHER RELEASED PARTY ARE RESPONSIBLE FOR ANY INCORRECT OR INACCURATE INFORMATION, WHETHER CAUSED BY ANY TECHNICAL OR HUMAN ERROR WHICH MAY OCCUR IN THE PROCESSING OF SUBMISSIONS IN THE GIVEAWAY. Neither the Sponsors nor any other Released Party makes any warranty, representation or guarantee, express or implied, in fact or in law, relative to any prizes including but not limited to quality, fitness for purpose, merchantability or mechanical condition.

Privacy. Entrants consent to the collection, use, and disclosure of their personal information for the purposes of administering the Giveaway and for the purposes of understanding the needs and preferences of individuals or to develop, enhance, market and/or provide products and services. Winning entrants’ names will be disclosed on Lume Cube’s website and to the public in general. These Official Giveaway Rules and Lume Cube’s privacy policy, available on Lume Cube’s website, will govern the use of all personal information collected in connection with this Giveaway.

In the event of a conflict between these Official Giveaway Rules and Lume Cube’s privacy policy, these Official Giveaway Rules shall control.

Official Giveaway Rules. The Giveaway will be run in accordance with the Official Giveaway Rules, subject to amendment by Sponsors. Entrants must comply with the Official Giveaway Rules and will be deemed to have received and understood the Official Giveaway Rules by participating in the Giveaway.

The terms of the Giveaway, as set out in the Official Giveaway Rules, are not subject to amendment or counter-offer, except as set out herein. Sponsors’ decisions with respect to the Giveaway are final and binding. If any provisions of the Official Giveaway Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.

Any attempt to deliberately damage any website or to undermine the legitimate operation of the Giveaway is a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution.

Governing Law / Forum Selection. This Giveaway is governed by the law of the state of California and proper forum for any dispute shall be in the county of San Diego in the state of California.
